1. Parties

These terms apply to orders placed in the webshop of Vaivatta Digipalvelut (business ID 3281265-2, address PL 10, 15101 Lahti, email info@vaivatta.fi , "Vaivatta"). The shop serves business customers and other traders. By ordering, the customer confirms that it acts as a business and accepts these terms.

2. Ordering and formation of the contract

Orders are placed in the webshop. An order confirmation is sent by email. A binding contract is formed when Vaivatta confirms the order or delivers the goods. Vaivatta may decline an order, for example because of a pricing error, an availability problem or a credit assessment.

3. Prices

All prices are in euros and include VAT (25.5 %).
Prices exclude shipping costs, customs duties and other official charges.
Shipping costs are shown during checkout before the order is confirmed.
Vaivatta may change prices. A confirmed order is invoiced at the price valid when it was placed.

4. Payment

Card payments are processed by Stripe. Vaivatta neither handles nor stores card details.
Payment by invoice is available by separate agreement, by default 14 days net.
Late payment interest follows the Finnish Interest Act. Collection costs are borne by the customer.
Goods remain the property of Vaivatta until the purchase price has been paid in full.

5. Delivery

Deliveries are made within Finland and the rest of the EU unless stated otherwise on the product page. Any delivery time shown is an estimate, not a binding promise. Risk passes to the customer when the goods are handed over to the carrier. The customer must inspect the shipment on receipt and report transport damage to Vaivatta and the carrier without delay, at the latest within seven (7) days.

6. Cancellation, returns and warranty

This is business-to-business trade, so the 14-day consumer right of withdrawal does not apply.
Non-defective products are not accepted for return.
Defects must be reported without delay after discovery. Vaivatta will, at its choice, repair the defect, deliver a replacement or refund the price.
Products carry the manufacturer's warranty. It does not cover normal wear, use contrary to the instructions, or modifications made by the customer.
Special-order and customer-specific products cannot be returned.

7. VPS and software services

VPS hosting and software modules are continuous services. The webshop charges the setup fee; the monthly fee is invoiced separately, outside the shop.
The setup fee is non-refundable once the service has been provisioned (the server created or the software module enabled).
Continuous services run until further notice and may be terminated in writing with effect from the end of the current billing period, unless agreed otherwise.
The customer is responsible for the content it stores in the service, for its legality and for backups, unless backups are separately agreed as part of the service.
Availability targets and any service credits are defined in a separate service agreement. Planned maintenance windows are announced in advance where possible.

8. Limitation of liability

Vaivatta is not liable for indirect damage such as lost profit, interruption of production, loss of data or damage caused to a third party. Vaivatta's total liability per order or service is limited to the VAT-inclusive amount paid for that order, or for a continuous service to the service fees of the last six (6) months. This limitation does not apply to wilful misconduct or gross negligence.

9. Force majeure

Vaivatta is not liable for delay or damage caused by an obstacle beyond its control, such as an order by an authority, industrial action, component shortage, telecommunications failure or a subcontractor's delivery failure.

10. Personal data

The processing of personal data is described in the privacy policy.

11. Changes to these terms

Vaivatta may amend these terms. The terms in force when the order was placed apply to that order.

12. Governing law and disputes

These terms are governed by Finnish law, excluding its conflict-of-law rules. Disputes are settled primarily by negotiation. Failing agreement, disputes are resolved by the District Court of Lahti.

Use of AI

Vaivatta is a fully agentic webshop under human supervision. Product texts and prices are drafted by AI (Anthropic Claude) and reviewed, checked and corrected by people.

Product descriptions, product information and prices are drafted by AI under human supervision. The manufacturer's specifications and the order confirmation take precedence over the product page.
Obvious errors in prices or product information do not bind Vaivatta: we correct them and may decline or cancel an order placed on an erroneous price, as set out in these terms.
